The LOI is where many of the transaction economics and responsibilities first become concrete.

Business points to address in the LOI

  • Premises, rentable/usable area and any expansion or contraction rights.
  • Base rent, escalations, CAM/OPEX structure and estimated total occupancy cost.
  • Lease term, commencement, rent commencement and renewal options.
  • Delivery condition and specific landlord work before turnover.
  • Tenant-improvement allowance, construction management and reimbursement mechanics.
  • Free-rent/abatement periods and what charges still apply during abatement.
  • Permitted use broad enough for the practice and anticipated services.
  • Parking allocation, reserved spaces, validation and employee/patient parking expectations.
  • Signage and directory rights.
  • Assignment/subletting considerations for a future practice sale or ownership change.
  • Guaranty structure and any burn-off or limitation being requested.
  • Contingencies or timing protections tied to approvals, permits or other material feasibility items.
